Reproduced below is a paper prepared by the UNCTAD secretariat on the differences and similarities between the draft United Nations Code of Conduct on Transnational Corporations and the OECD Guidelines for Multinational Enterprises. Annexed to this paper are the texts of the draft United Nations Code of Conduct on Transnational Corporations (1983 and 1990 versions), the Set of Multilaterally Agreed Equitable Principles and Rules for the Control of Restrictive Business Practices (1980) and the draft international Code of Conduct on the Transfer of Technology (1985 version). This paper and the texts in the annexes have been submitted in response to a request made by the Working Group at its meeting of 16-17 June 1998.
